Terms of Service
These Terms of Service govern your access to and use of Asozal’s websites, applications, products, and services. By creating an account, accessing, or using Asozal, you agree to these Terms.
Eligibility and accounts
You must be authorized to use Asozal on behalf of your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.You agree to provide accurate account information and to keep it current. We may suspend or terminate access if account information is inaccurate, incomplete, or used in violation of these Terms.
Use of the service
Asozal provides vendor intelligence, cost monitoring, alerting, renewal planning, and workspace-level visibility tools for business users.You may use the service only for lawful business purposes and in accordance with these Terms, applicable documentation, and any order form or subscription agreement.You may not:
- copy, modify, or reverse engineer the service
- interfere with or disrupt the service
- attempt unauthorized access to systems or data
- upload malicious code or unlawful content
- use the service to violate laws or third-party rights
- resell or sublicense the service without written permission
- benchmark or publish performance information without permission
Customer data
“Customer Data” means information, files, records, vendor data, cost data, billing data, contract data, renewal information, and other content submitted to Asozal by or on behalf of a customer.You retain ownership of Customer Data. You grant Asozal the rights necessary to host, process, transmit, display, and use Customer Data to provide, secure, support, and improve the service.You are responsible for ensuring you have the rights and permissions needed to submit Customer Data to Asozal.
Workspaces and users
Asozal may allow customers to create workspaces, invite users, and manage access by team, business unit, or organization. Customer administrators are responsible for user access, permissions, workspace configuration, and activity within their organization’s account.
Third-party services
Asozal may integrate with third-party services, APIs, payment processors, cloud platforms, email providers, analytics tools, or other systems. Use of third-party services may be subject to separate terms and privacy policies.Asozal is not responsible for third-party services, their availability, or their handling of data outside Asozal’s control.
Fees and payment
Some Asozal services may require a paid subscription. Fees, billing cycles, taxes, renewal terms, and payment obligations will be described in the applicable order form, checkout flow, or subscription plan.Unless otherwise stated, fees are non-refundable. You authorize Asozal or its payment processor to charge applicable fees using the payment method provided.
Free trials
Asozal may offer free trials. Trial terms, duration, and limitations may be described during signup. At the end of a trial, access may be limited or converted to a paid subscription unless cancelled or otherwise agreed.
Availability and changes
We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features from time to time, including to improve performance, security, or compliance.
Security
Asozal uses reasonable technical and organizational measures designed to protect the service and Customer Data. You are responsible for maintaining secure credentials, managing user access, and promptly notifying us of suspected unauthorized access.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use confidential information only as needed to perform under these Terms and will protect it using reasonable care.Confidential information does not include information that is public, independently developed, lawfully received from another source, or already known without confidentiality obligations.
Intellectual property
Asozal and its licensors retain all rights, title, and interest in the service, software, designs, documentation, trademarks, and related intellectual property.No rights are granted except as expressly stated in these Terms. Feedback or suggestions may be used by Asozal without restriction or obligation.
Compliance with laws
You are responsible for using Asozal in compliance with applicable laws, regulations, and internal policies, including those relating to privacy, data protection, procurement, finance, and vendor management.
Suspension and termination
We may suspend or terminate access if you violate these Terms, fail to pay fees, create security risk, or use the service in a way that may harm Asozal, other users, or third parties.Upon termination, your right to use the service ends. Certain provisions, including payment obligations, confidentiality, intellectual property, limitations of liability, and dispute provisions, will survive termination.
Disclaimers
The service is provided “as is” and “as available.” To the maximum extent permitted by law, Asozal disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Asozal does not provide legal, financial, accounting, procurement, or tax advice. Insights, alerts, summaries, and recommendations are informational and should be reviewed by qualified personnel.
Limitation of liability
To the maximum extent permitted by law, Asozal will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, or business interruption. Asozal’s total liability for any claim will not exceed the amounts paid by you to Asozal for the service in the twelve months before the event giving rise to the claim, or one hundred dollars if no amounts were paid.
Indemnification
You agree to defend, indemnify, and hold harmless Asozal from claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the service, your violation of these Terms, or your violation of law or third-party rights.
Governing law
These Terms are governed by the laws of the United States, without regard to conflict of law principles. Venue for disputes will be in the courts located in the United States, unless otherwise required by law.
Changes to these Terms
We may update these Terms from time to time. If changes are material, we may provide notice through the service, by email, or by updating the effective date. Continued use of the service after changes become effective means you accept the updated Terms.
